Terms and Conditions

1. Who we are

mdsoft.dev is a sole proprietorship; there is no separate legal entity. Full details are in the Impressum.

2. What these terms cover, and what they do not

These terms govern the licence you receive for our extensions and the service we provide alongside it: updates, access to the download repository, and support.

They are not the contract of sale. Our extensions are sold through Paddle.com Market Limited, a company registered in England and Wales under company number 8172165 at 30 Old Bailey, London EC4M 7AU, United Kingdom — or, where you buy from the United States or Canada, through Paddle.com Inc. (3811 Ditmars Blvd. #1071, Astoria, New York, NY 11105-1803, USA) or Paddle.com (Canada) Ltd (22 Adelaide Street West, Suite 3400, Toronto, Ontario, M5H 4E3, Canada) respectively. Whichever of them applies to your purchase (“Paddle”) acts as our reseller and Merchant of Record. When you buy, your contract for the purchase itself is with Paddle: they take the payment, calculate and remit VAT, and issue your invoice. Paddle's own buyer terms and privacy policy apply to that contract and are available at paddle.com/legal/checkout-buyer-terms.

Where these terms and Paddle's buyer terms differ on a matter of payment, invoicing or tax, Paddle's terms govern.

3. What you are buying

Each product is an annual subscription. For its term it gives you:

  • a licence to use the extension in production, as described in section 4,
  • every version we release during the term, from our Composer repository,
  • compatibility updates for the store platform versions listed on the product page, and
  • email support as described in section 7.

Prices are shown on the product page and again at checkout, where Paddle adds or includes VAT according to your location. Our extensions are digital products, delivered electronically; nothing is shipped.

4. Licence

Subject to payment, we grant you a non-exclusive, non-transferable, worldwide licence to install and use the extension for the term of your subscription.

Unless the product page states otherwise, one subscription covers one production installation — one live store, including the store views and websites within it. You may additionally run the extension in as many non-production environments as you need: development, staging, testing, continuous integration.

You may modify the source for your own use, and you may keep those modifications. You may not:

  • redistribute, resell, sublicense or publish the extension or any part of it, whether modified or not,
  • share your Composer credentials, or make the packages available to anyone outside your organisation, or
  • remove or obscure copyright or licence notices in the source.

An agency or freelancer may install the extension on a client's store, provided the licence is bought for that store. The licence follows the store, not the person installing it.

Copyright and all other rights in the extension remain with us.

5. Delivery and access

After your payment completes, we email you the credentials for our Composer repository at repo.mdsoft.dev, together with installation instructions. That email contains the only copy of your access token that we can show you: the token is stored as a digest, so if you lose it we can issue a new one but cannot recover the old.

Delivery is normally within minutes of payment. If nothing arrives, check your spam folder and then contact us.

6. Term, renewal and cancellation

A subscription runs for one year and renews automatically for further one-year terms unless cancelled. Paddle charges the renewal to your payment method and notifies you in advance.

You can cancel at any time, without giving a reason, in the customer portal — enter your email address and Paddle emails you a sign-in link. Cancelling stops the next renewal; it does not end the term you have already paid for.

What you keep after a subscription ends. Every version released while your subscription was active remains licensed to you permanently, and you may keep it installed and running. An existing composer.lock therefore keeps working. What ends is access to versions released after your subscription lapsed, along with updates and support.

7. Support

Support is provided by email to [email protected], in English or German, for the term of your subscription. We aim to reply within two business days.

Support covers installation, configuration and defects in the extension. It does not cover work on your store, custom development, third-party extensions, or conflicts caused by modifications you have made to our source.

8. Updates and compatibility

We maintain each extension for the store platform versions listed on its product page and publish updates as defects are fixed and new platform versions are supported. We do not promise a particular release schedule, and we cannot promise compatibility with platform versions that do not yet exist.

Where an extension implements a legal requirement, we make a reasonable effort to keep it aligned with the law as it changes. That is not legal advice, and it does not make us responsible for your compliance — see section 9.

9. Warranty, liability and your own compliance

We supply the extension with reasonable skill and care, and your statutory rights as a buyer are unaffected by anything in these terms.

Our extensions help you display information required by law. Whether your store complies with the law remains your responsibility. You are the trader; you know your products, your guarantees and your markets. Nothing we publish is legal advice, and you should have your own compliance reviewed by a qualified adviser.

We are liable without limitation for damage caused intentionally or by gross negligence, for injury to life, body or health, and wherever liability is mandatory by statute. For slight negligence we are liable only for breach of an obligation whose fulfilment is essential to the proper performance of this agreement and on which you may reasonably rely, and then only for foreseeable damage typical of this kind of contract. Any further liability is excluded.

You are responsible for keeping backups of your store and for testing updates in a non-production environment before deploying them.

10. Refunds

Refunds are covered by our Refund Policy, which forms part of these terms.

11. Changes to these terms

We may change these terms for new purchases and for renewals. The version in force when you buy or renew is the one that applies to that term. The current version is always at https://www.mdsoft.dev/terms/.

12. Governing law

German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. If you are a consumer resident in the European Union, this choice of law does not deprive you of the protection of the mandatory provisions of the law of your country of residence.

We are not willing or obliged to take part in dispute resolution proceedings before a consumer arbitration board.
